1. Registered Address

  • A registered office address refers to a place in Singapore where all official letters to the company are sent, and the place where the company’s register and records are kept. It must be accessible to the public during normal office hours, but need not be where the company conducts its activities which is known as the principal place of business.
  • The registered address is searchable on public databases and some of our clients chose to use our registered address service for privacy and to enhance the credibility of the company

2. Company Name

  • The Company Name is the business name registered with ACRA, this the the name used in official documents and used in issuing invoices, receipts etc.
  • The company may not use names that are obscene or religious in nature and should not be identical to an already reserved (or existing company's name). Sprout Asia will be able to help you check on the desirability and availability of your desired company name.

3. SSIC Code

  • An SSIC code helps ACRA determine whether the company is required to apply for any licenses to carry out their business. Some SSIC codes also help to determine if a company is entitled to certain tax benefits by IRAS. In the broader picture, the purpose of an SSIC Code is so that the government can track ACRA business activity.
  • You are able to choose One Primary and one Secondary Activity. If you are unclear of what SSIC code is suitable for your company, your Corporate Service provider will be able to advice you based on your description of your business activities.

4. Directors & Shareholders

  • It is mandatory to have at least one local director in your Singapore Company. This Director will be responsible for ensuring that the company complies with its statutory requirements.
  • The shareholders of a company are essentially the owners of the company, their approval is sought during General Meetings on matters that affect the company. They are also able to voice their opinions regarding relevant issues involving the management of the company to the directors.

5. Post-Incorporation

  • Once your company is incorporated, Sprout Asia will provide you with a few bank account opening options depending on your preference and needs

  • Under the Companies Act, each company registered in Singapore must have at least 1 resident director. A resident director is a Singaporean, PR or EP/EntrePass holder (where the sponsor is the company) residing in Singapore. If you are unable to provide a resident director, you may wish to consider our packages for foreigners.
  • A nominee director is a professional appointed to be the director of your company for statutory purposes. He/she will not have any management authority or signing authority for your bank account.

  • It is mandatory under the Companies’ Act for every company to appoint a corporate secretary. A corporate secretary is an officer of the company responsible for internal compliance and all necessary documents required by law, he or she executes and maintains the official corporate filings, company resolutions and books according to applicable laws and regulations.
  • A company may be liable to fines if corporate filings or corporate documents are not lodged in a timely manner and the directors themselves may be fined or disqualification by ACRA from being directors.

Decide Company Name & Business Activity

  • Deciding a name for the company is a major decision! It is difficult to find a suitable company name and an appropriate internet domain which is available. Thankfully, the company legal entity name does not necessary need to be the same as the trading name of the business. For example, HanBaoBao Pte Ltd is the entity name of our beloved McDonald’s in Singapore.
  • Company name which is similar to other entities, gazetted or rude/obsene names are also not allowed by ACRA. ACRA may also choose to refer the company’s name to other agencies for approval, which may delay the incorporation date.
  • Another important decision is choosing the business activity of the company. This is selected via the SSIC code maintained by SingStats. Every company can choose up to 2 SSIC codes as the business activities and can add further free-text description to the activity.
  • These stated business activity is not meant to be restrictive and companies are allowed to conduct legal business activities beyond these stated on ACRA. The selected SSIC codes are relevant for the main contributors of operating revenue and for license purposes. It is also possible to amend the business activity in the future by informing your corporate secretary and passing a directors’ resolution.

Decide Who Are The Directors And Shareholders

  • The directors manages the company and has the authority to make management decisions, sign off on business agreements, open or close bank accounts. Directors have the fiduciary duties to act honestly and in good faith in the best interest of the company.
  • The shareholders are the owners of the company via the shares held in their name. The shares grant their holders voting rights to appoint and remove directors as well as to determine other shareholders’ matters. The share also determine how  economic profit from the company is split amongst the shareholders.
  • During incorporation, you will be required to state the number of shares each shareholder holds. Additional shares may be allotted in the future and shares can also be transferred.
